| HOW DO I BECOME AN
"AREA PARTNER"? |
|
| Your investment
will be an initial order of 6-10 "units" (depending
on the area you wish to operate in). |
|
| Up front, we
will be evaluating the area you want to cover and have "relative
exclusivity" to operate in. During the evaluation, we will determine
how many "units" your area should support. We will also
determine a schedule from which we will have a plan to get you to
the number of "units" agreed upon. |
|
| This agreement
will not force you to buy more machines, it will merely be
the benchmarks you should reach to retain the "relative exclusivity"
rights for your area. If you choose not to keep to the schedule at
some point, it means we would have the right to bring in another operator
(if we choose to) to fulfill the number of units an area
should support. |
|
| Example:
let's say we determine you are going to operate a 100 mile radius
around your town, and we determine that the area should support a
minimum of 18 units, and you were required to buy 6 "units"
up front. This will give you 12 months to "dig in" to your
area, and place the first 6 machines. During this time we will not
place any other operators. The purchases of the remaining 12 units,
we spread out over the next 12 months (3 units each quarter). |

| If, after the
first 12 months, you have not already ordered more "units"
(your next 3), then we'll discuss your plans - there could be circumstances
in which we would be open to modifying your schedule. On the other
hand, if we have another interested party, and you decide that you
are comfortable with your current level of operation, we will give
you "first right of refusal" to continue. If you "opt
out", the next operator will have the opportunity to fulfill
the schedule. Again, it will be your choice. |

| Once you have
completed your scheduled purchases, you will have the "relative
exclusivity" rights to operate indefinitely. |
|

| WHAT IS "RELATIVE
EXCLUSIVITY"? |
|
| This is not
a franchise. However, we are looking for operators who are committed
to complete coverage of their area. |
|
| We understand
that as operators you want to know that not just anyone can come in
and compete with you. |
|
| As an "Area
Partner" we will not place anyone else in your area*
under the conditions illustrated in the above section. |
|
| We encourage
"Area Partners" who are next to each other's areas, to get
to know each other, and respect each other's areas. Some have even
worked out arrangements with each other to cover for each other, buy
print media together, etc. |
|
| At some point
in the future, once our National Network of Independent Operators
like you are in place, there may be some opportunities to operate
in regional and even national accounts. |
|
| *Keep
in mind that it is possible that other operators have purchased individual
machines through previous marketing companies (we are now the exclusive
distributor) or that somewhere along the line someone bought and resold
a machine to another company, that there may have been national accounts
set up on a corporate level. We suggest you start looking at prospective
locations to see what may or may not be out in you area. |

and present your company and this Network in a professional and
recognizable manor.

| OPPORTUNITY FOR RESALE
IN YOUR AREA |

| You may find
some location owners who prefer to own their equipment. You could
sell the machine to them for a profit, and also sell them print media/service,
on an ongoing basis. Well help you set pricing etc. |

| We are contacted
occasionally by location owners for revenue share programs & to
purchase machines outright. In either case, as an area partner, we
would direct them to you if they are located in your area. |
